About the role
We are seeking an experienced Corporate Counsel with deep expertise in corporate and securities law to join our growing legal team. As our business continues to scale rapidly, we need a skilled attorney who can provide expert guidance on complex transactions and general corporate matters. The ideal candidate will have the ability to work with a fast-paced and innovative finance team on diverse transactions while also being excited to jump into general corporate work. They will also bring strong negotiation skills along with strategic business acumen to help navigate our growth while managing legal risk.
Responsibilities:
- Draft, review, and negotiate corporate transaction documents including debt financing agreements, credit agreements, services agreements, equity financing agreements, merger and acquisition documents, and related closing documentation
- Provide strategic counsel throughout all phases of transactions, from initial term sheet negotiation through due diligence and closing
- Work closely with Finance and other partners to design optimal capital structures and funding strategies
- Manage outside counsel as needed on complex transactions and specialized legal matters
- Handle general corporate matters including corporate governance, board and stockholder matters, equity compensation and the pledge donation process
- Stay current on relevant legal developments and emerging market trends to proactively address potential impacts on the business
- Support the business on day-to-day legal needs while maintaining focus on strategic growth initiatives
You may be a good fit if you:
- Have a JD from an accredited law school and active membership in at least one U.S. state bar
- Have 10+ years of relevant legal experience with significant focus on corporate and securities transactions at a top-tier law firm and/or in-house at a high-growth company
- Demonstrate deep understanding of corporate finance structures, including equity and debt instruments, M&A mechanics, and corporate governance principles
- Are humble, thoughtful, exercise sound judgment and operate at the highest level of integrity
- Have strong organizational and project management skills, and are able to prioritize and execute on multiple complex transactions and corporate matters simultaneously
- Have exceptional analytical, writing, and communication skills. You understand how to succinctly and effectively communicate complex legal and business concepts to non-lawyers
- Thrive in a fast-paced, dynamic environment and can seamlessly transition between strategic transactions and day-to-day corporate legal needs
- Possess strong business acumen and can provide practical, solutions-oriented legal advice that supports company growth objectives
Strong candidates may have:
- In-house or similar experience at a global law firm
- Experience in a tech company or other fast-paced environment
For this role, we expect all staff to be able to work from our San Francisco office at least 3 days a week, though we encourage you to apply even if you might need some flexibility for an interim period of time.

The expected salary range for this position is:
Annual Salary:$320,000—$385,000 USDLogistics
Education requirements: We require at least a Bachelor's degree in a related field or equivalent experience.
Location-based hybrid policy: Currently, we expect all staff to be in one of our offices at least 25% of the time. However, some roles may require more time in our offices.
Visa sponsorship: We do sponsor visas! However, we aren't able to successfully sponsor visas for every role and every candidate. But if we make you an offer, we will make every reasonable effort to get you a visa, and we retain an immigration lawyer to help with this.
